Insolvency, Rehabilitation and Suspension of Payments
Our Corporate practice includes registration of corporations, foreign investments, mergers and acquisitions, contracts law, joint ventures, shareholders’ agreements, commercial securities law (i.e. initial public offering with the Philippine Stock Exchange, additional listing of shares, alternative trading systems, registration of securities), corporate restructuring/dissolution and other commercial transactions. Our Firm likewise registers and maintains offshore companies for our clients, in Hong Kong, Singapore, the British Virgin Islands and other territories, and renders legal advise on the advantages of such registrations.
The field of E-Commerce governs commercial electronic transactions, primarily those executed through the internet. We have provided our Clients with the legal and corporate framework and safeguards for their e-commerce business models, as well as draft the corresponding electronic contracts and user agreements related thereto.
Family Law relates to legal relationship between spouses, parents and their children. This includes rendering advise on marriage, legal separation, annulment of marriage, support, order of protection and child custody. Taking into consideration tax implications, our Firm also provides services relating to estate planning and the disposition of properties to legal heirs, including the drafting of wills where appropriate.
Government Procurement and Public Bidding involve rendering legal advise and assistance to our clients who participate in government procurements and projects, including legal services related to the preparation, compilation and submission of the necessary bid documents. Atty. Ang-Co served as legal consultant on Bids and Awards of the Philippine Department of National Defense in 2006.
Insolvency, rehabilitation and suspension of payments involve rendering legal advise and services to companies which are insolvent or undergoing the legal process of rehabilitation or suspension of payments, including acting as court-appointed receiver of distressed companies. Our Firm also represents creditors of these distressed companies.
Our Intellectual Property practice refers to trademark, copyright, and patent practice. Our Firm maintains contacts in Asia, the European Union, and the United States of America in connection with international trademarks and registrations under the Patent Cooperation Treaty.
Immigration law is concerned with legal assistance rendered for non-Filipinos in acquiring the proper visas (including employment visas, investors’ visas, etc.), work permits and other requirements mandated by the Philippine Government. Immigration law also includes assisting qualified former Philippine citizens in acquiring dual citizenship. We also assist Filipino citizens obtain recognition of their citizenships from the appropriate government agencies.
Litigation and labor practice include actions involving tort, breach of contract, unpaid claims, criminal actions, collective bargaining, and other labor disputes.
Real Estate Transactions refer to all forms of agreements pertaining to land and its improvements, such as sales, donations, lease, easements, and transfers made through hereditary succession. Legal advise pertaining to the tax implications of the foregoing transactions is also provided by our Firm.
Real Estate Development pertains to development projects ranging from residential subdivisions and condominium developments to hotels, leisure clubs, and shopping centers; our Firm possesses the legal expertise to provide legal services relative thereto including tax and legal advisory, project financing, corporate structuring, mergers and acquisitions, joint venture transactions, legal documentation, contract negotiations and land acquisition and development transactions.
Taxation includes personal estate planning, tax planning, in addition to giving general tax advise. Pursuant to our tax practice, our Firm formulates transactional and property structures and procedures which produce the most tax efficient results for our Clients. Close coordination is maintained with local tax authorities for the implementation of our tax plans.
